Das Basler Transport- und Logistikunternehmen führt derzeit Verhandlungen zum Erwerb einer Minderheitsbeteiligung von 12,1% an der luxemburgischen Fluggesellschaft Luxair. Ein .Sprecher des Carriers bestätigte das Interesse der Schweizer, hielt aber gleichzeitig fest, erst kommende Woche über den Stand der Verhandlungen informieren zu wollen. Im vergangenen Juli hatte die RTL-Gruppe mit der deutschen Leasing-Gesellschaft SŽT einen potenziellen Käufer für ihre Beteiligung an der Luxair präsentiert. Die restlichen Aktionäre machten jedoch von ihrem Vorkaufsrecht Gebrauch. Nach Einschätzung der Luxemburger kann Panalpina mit einem Sitz im Verwaltungsrat der Luxair rechnen. Das Schweizer Unternehmen, das in der Luft- und Seefracht aktiv ist, ist bereits heute ein bedeutender Nutzer des Cargo-Zentrums der Luxair auf dem Flughafen Findel und gleichzeitig ein wichtiger Kunde der Cargolux, an der die Luxair zu 34,9% beteiligt ist. Die Luxair, die über eine Flotte von 17 Maschinen verfügt, wird mehrheitlich durch den luxemburgischen Staat (26,8%), durch die Banque et Caisse d'Epargne de lEtat (15,6%) und durch die Luxair-Gruppe (13,1%) kontrolliert. Die restliche Beteiligung wird durch die Dexia Bank (15,3%), die Lufthansa (15,1%) und durch die Fortis-Gruppe (14,1%) gehalten.

Panalpina set to acquire 12.1% of Luxair

Panalpina is engaged in negotiations on the acquisition of a 12.1% stake in the Luxembourg airline Luxair.

 

The negotiations between Luxair's major shareholders and Panalpina – the globally active group headquartered in Basel, Switzerland – have reached an advanced stage. The Boards of Directors of Luxair and Panalpina are basically positive about the project, and the complex procedure for the acquisition of the share package is already in progress. In addition to being formally ratified by Luxair's Board of Directors, the takeover is also subject to approval by the Luxembourg government.

 

The institutional shareholders of Luxair have been looking for potential buyers of the 12.1% stake since July 2002. These shares were previously held by CLT-UFA, a company belonging to the RTL Group.

 

The Panalpina Group, which is one of the world's leading provider of airfreight services, is a major customer both of Luxair and of its affiliate company Cargolux. Through its subsidiary ASB-Air (formerly Air Sea Broker), Panalpina has been an important user of the Cargocenter at Luxembourg's Findel Airport for over 30 years. Panalpina sends a high proportion of its airfreight from and to Europe through the Luxembourg Cargocenter, and the hub plays a key role in the global airfreight network of Panalpina/ASB-Air.

 

The agreement would further strengthen Luxair's solid foothold in freight handling on behalf of leading airfreight companies. Freight operations are a major component of Luxair's business, and one which contributes significantly to its revenues.

 

Panalpina considers a strategic participation in Luxair to be an important prerequisite for optimizing its airfreight hub in Luxembourg and further developing strategic cooperation between the two partners. As part of this cooperation, Luxair will in future handle Panalpina freight at the group's CargoCity Süd logistics center now taking shape at Frankfurt airport.
